1. Agreement, who we are, and your account

These Terms of Service ("Terms") are a binding agreement between you and TPixel, Inc., a Delaware corporation doing business as HeyTripp, with its principal office at 1808 Wedemeyer St, Suite 328, San Francisco, CA 94129 ("HeyTripp," "we," "us"). They govern your use of the HeyTripp website, apps, AI travel assistant, and booking services (the "Service").

IMPORTANT: Section 10 contains an arbitration agreement and class action waiver. Unless you opt out, disputes will be resolved by individual binding arbitration, not in court or by jury.

1.1 Acceptance. You accept these Terms when you create an account. We will ask you to accept again when we make material changes under Section 10.5.

1.2 Eligibility. You must be at least 18 years old, located in the United States, and able to form a binding contract to create an account. You may provide information about travelers under 18, including your children, only if you are their parent, legal guardian, or otherwise authorized to book travel for them.

1.3 Your account. You agree to give accurate, current information and keep it up to date. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately at [email protected] if you suspect unauthorized access. We are not responsible for losses caused by your failure to protect your credentials.

1.4 Booking for others. When you provide information about another traveler, you confirm you have their permission to share it with us and our suppliers for their trip, and that you are authorized to accept these Terms and the applicable supplier terms on their behalf.

1.5 Text messages. If you turn on texts, in Settings or by replying YES when we ask, HeyTripp sends booking confirmations, trip and flight updates, price-watch alerts, and replies when you message Tripp, by SMS, RCS, or WhatsApp. You can also chat with Tripp by text to search and plan. Message frequency varies with your trips and what you ask. Message and data rates may apply. Reply STOP at any time to stop texts; we will confirm once and send nothing more until you reply START or turn texts back on in Settings. Reply HELP for help, or email [email protected]. Texts never add charges to your phone bill. A booking is paid with your card, and you see its price before you confirm it. Carriers are not liable for delayed or undelivered messages. Texting is available in the United States on supported phones and carriers. Our Privacy Policy explains how we handle your mobile number.

2. What HeyTripp does, and the limits of AI

2.1 The Service. HeyTripp is an AI-powered travel assistant. It helps you plan trips, search and compare flights and hotels from our supply partners, and book them with your approval. It can also cancel bookings on your behalf and book replacements, with your approval. HeyTripp is a travel agent and booking platform. We do not operate airlines, hotels, or other travel services. Those are provided by independent suppliers (Section 4).

2.2 You are talking to AI. HeyTripp's assistant is an artificial intelligence system. Its responses are machine-generated, not written by a human travel agent, unless we tell you a person has joined the conversation.

2.3 AI can be wrong. AI responses may be inaccurate, incomplete, out of date, or inconsistent. This is most likely for information that changes often or does not come from live supplier data, such as opening hours, local events, weather, or general destination advice.

2.4 Recommendations vs. confirmed facts. We distinguish two kinds of information:

If the assistant's description of a booking conflicts with the checkout screen, supplier confirmation, or supplier terms, the checkout screen and supplier terms govern.

2.5 Verify high-stakes information yourself. HeyTripp does not provide legal, immigration, medical, or safety advice. You are solely responsible for meeting passport, visa, entry, exit, transit, health, vaccination, and identification requirements for every traveler. Confirm these with official government sources and your supplier before you travel. Supplier and government denial of boarding or entry is not grounds for a refund from HeyTripp.

2.6 How results are chosen. Results reflect the inventory available from our supply partners at the time of search, not the entire travel market. Ranking is based only on the criteria you set, such as price, location and proximity, dates, and ratings, plus your saved preferences and live availability. Section 6.3 explains how our compensation does and does not affect results.

3. When HeyTripp can act for you

HeyTripp never spends your money without your authorization. This section explains exactly what that means.

3.1 Default: you approve every purchase. Before we commit any money, we show you a booking summary: each traveler's name, the supplier, itinerary and dates, fare or room type, total price including taxes and fees, and the change, cancellation, and refund rules. Nothing is purchased until you tap the confirm button on that screen.

3.2 Changes before purchase. If the price or any material term changes between the summary you approved and the moment of purchase, we stop and ask you again. Material terms are total price, dates or times, airports or hotel, traveler, cabin or room type, refundability or cancellation terms, and supplier. We never substitute a different flight, hotel, fare, or room without your approval.

3.3 Records. For every purchase, change, or cancellation, we keep a record of what you approved, the time of approval, the action taken, and the supplier's confirmation. You can view these records in your account. In a dispute, these records are evidence of what was authorized.

3.4 Your responsibility. You are responsible for purchases you approve. Review the summary carefully, especially traveler names, which must match government ID.

4. Bookings

4.1 Suppliers provide the travel. Airlines, hotels, and other suppliers provide the underlying travel services and are solely responsible for them, including schedule changes, overbooking, delays, cancellations, room condition, and service quality. We act as your agent in arranging bookings with them.

4.2 Supplier terms apply. Each booking is subject to the supplier's terms, including fare rules, rate rules, the airline's contract of carriage, and hotel policies. We show material restrictions before you purchase and link to full supplier terms where available. By booking, you agree to those terms. If supplier terms conflict with these Terms on the travel service itself, the supplier terms govern.

4.3 Who charges you. Each booking has one merchant of record: the company that charges your payment method. The checkout screen and your receipt name it for each booking. It is one of these: (a) TPixel, Inc. (TrustPixel). We charge your payment method through OEX, TPixel, Inc.’s own platform for travel inventory and payments, and pay the supplier for you. The charge shows on your card statement as “HEYTRIPP VIA TPIXEL.” (b) The travel supplier. The supplier, through our booking partner, charges your payment method. (c) The hotel, for pay-at-property rates. The hotel charges you directly, usually at check-in or check-out, and we collect no payment.

4.4 Prices and availability change. Prices and availability come from suppliers and change constantly. A price mentioned in chat or shown in search results is not guaranteed. The price is locked only when the supplier confirms the booking at the price shown on the checkout screen. If the price changes before confirmation, we will not complete the purchase unless you approve the new price.

4.5 A booking exists only when confirmed. A booking is complete only when the supplier confirms it and we show you a confirmation number, e-ticket number, or record locator. Until then, HeyTripp will not tell you that you are booked. If a booking fails, we will tell you, show what was and was not charged, and release or refund any amount captured for the failed booking.

4.6 Duplicate bookings. We use technical controls to prevent the same booking from being purchased twice, and we do not retry a purchase beyond what you authorized. If a duplicate occurs due to our error, contact us and we will cancel it and refund any charge, or cover any supplier penalty.

4.7 Traveler information. You must provide traveler names exactly as they appear on government ID, and accurate dates of birth, contact details, and other information the supplier requires. Errors can cause denied boarding and supplier fees, which are your responsibility unless caused by HeyTripp.

5. Changes, cancellations, and refunds

5.1 Supplier rules control. Whether you can change or cancel a booking, by when, and at what cost is set by the supplier's rules shown at checkout and in your confirmation. Many fares and rates are non-refundable. Our Refund Policy is incorporated into these Terms by reference, including the U.S. rule that a flight to or from the United States cancelled within 24 hours of booking, departing at least 7 days after booking, is refunded in full; when you cancel through the Service inside that window, we ask the airline to cancel and pass on exactly what it refunds. The Refund Policy governs where this section and it differ.

5.2 How changes work. HeyTripp does not modify existing bookings. To change a trip, you can ask HeyTripp to cancel your booking, book a replacement, or both. Before we act, we show you the cancellation penalty and refund amount for the original booking, and the full price and terms of the replacement, and you confirm each. These are separate transactions: the original's refund follows its supplier rules, and a cancelled booking cannot be restored. Where possible, we confirm the replacement before cancelling the original so you are not left without a booking.

5.3 Requested vs. completed. A cancellation is complete only when the supplier confirms it and we show you the updated confirmation. Supplier deadlines are measured by the supplier's records, so allow time for processing before a deadline.

5.4 Who refunds you. Refunds are processed by the merchant of record for that booking (Section 4.3). For bookings we charged, we refund amounts the supplier refunds to us, plus any amount owed because of our error, on these timelines: flights within 7 business days after the refund is due; hotels within 10 business days after the supplier refunds us; and amounts owed because of our error, including duplicate or failed bookings, within 5 business days, without waiting on the supplier. Your card issuer may take additional days to post the credit. For pay-at-property rates, the hotel issues any refund, and we will help you request it.

5.5 Supplier cancellations and schedule changes. If a supplier cancels or significantly changes your booking, your rights are those provided by the supplier and applicable law, including U.S. Department of Transportation refund rules for flights where they apply. For flights we charged, we will issue refunds that DOT rules require of ticket agents, within the timeframes those rules set. We will notify you when we learn of the change and help you rebook or obtain a refund.

5.6 HeyTripp fees. HeyTripp does not charge a service or booking fee. If we introduce one, we will show it at checkout before you book and update these Terms under Section 10.5.

6. Payments, fees, and how we make money

6.1 Total price. The checkout screen shows the total price, including all taxes and fees. HeyTripp does not charge a service or booking fee. Some charges are collected by the supplier, such as resort fees, city taxes, or deposits at a hotel, or optional airline fees such as checked bags or seat selection. We show these as "paid to supplier" where the supplier provides them to us.

6.2 Payment. You authorize the merchant of record for your booking (Section 4.3) to charge your chosen payment method for the total price, except for pay-at-property rates, which you pay to the hotel. Our Privacy Policy explains how we handle and protect payment information. Your card issuer may charge foreign transaction fees.

6.3 How HeyTripp is paid. HeyTripp may earn commissions, markups on net rates, or other compensation from suppliers and partners when you book. That compensation never affects which options we show you or how we rank them. HeyTripp does not accept payment for placement, and results are ranked only on the criteria described in Section 2.6.

6.4 Price claims. When we describe an option as "cheapest," "lowest," or "best," we mean among the options available to HeyTripp from our supply partners for your search at that time, not across all travel websites. HeyTripp does not offer a price-match guarantee unless a separate written guarantee states its terms.

6.5 Chargebacks. If you believe a charge is wrong, contact us first at [email protected] so we can fix it. Filing a chargeback for a booking you authorized and received may result in suspension of your account.

7. Your content, AI outputs, and acceptable use

7.1 Your content. You keep ownership of the messages, preferences, documents, and other content you submit ("Your Content"). You give HeyTripp a non-exclusive, worldwide, royalty-free license to use Your Content only to operate, secure, support, and improve the Service, and to share it with suppliers and service providers as needed to fulfill your requests, as described in our Privacy Policy. This license ends when Your Content is deleted from our systems, except for copies we must keep for legal, tax, fraud-prevention, or booking records.

7.2 AI outputs. As between you and HeyTripp, you may use the itineraries, plans, and other output the assistant generates for you for any personal, non-commercial purpose, including sharing them with your travel companions. Output may be similar to output given to other users, and you do not gain rights in other users' output. Third-party content in output, such as supplier photos and descriptions, remains owned by those third parties.

7.3 HeyTripp's property. The Service, including its software, models, design, and brand, belongs to HeyTripp and its licensors. We give you a limited, revocable, non-transferable license to use the Service for your personal travel under these Terms.

7.4 What you may not do. You may not:

7.5 Connected services and external agents. You may connect third-party services or AI assistants to your HeyTripp account. Actions taken through a connected service you authorize are treated as your actions and remain subject to Section 3. Connected services are governed by their own terms and privacy policies, and we are not responsible for them.

8. Privacy, suspension, and termination

8.1 Privacy. Our Privacy Policy explains how we collect, use, and share personal information, including chat conversations, travel preferences the assistant remembers, traveler and passport details, and data shared with suppliers and AI providers. Please do not share sensitive information, such as health details or full ID numbers, in chat unless it is needed for your booking.

8.2 Suspension. We may suspend or limit your access if we reasonably believe you have violated these Terms, there is fraud or a security risk, or law requires it. Where practical, we will tell you why and how to resolve it.

8.3 Termination. You may close your account at any time in your account settings. We may terminate your account on 30 days' notice, or immediately for serious or repeated violations, fraud, or legal reasons.

8.4 Effect on bookings. Closing or suspending an account does not cancel confirmed bookings. Those remain valid under the supplier's terms, and refunds and changes for them will still be processed. Sections 3.3, 6, 7.1–7.3, 9, and 10 survive termination.

9. Disclaimers, limits on liability, and indemnity

9.1 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, HEYTRIPP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT IS ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. HEYTRIPP IS NOT RESPONSIBLE FOR THE ACTS, ERRORS, OMISSIONS, OR SERVICES OF SUPPLIERS.

9.2 Limitation of liability. TO THE EXTENT PERMITTED BY LAW, HEYTRIPP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. HEYTRIPP'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO HEYTRIPP FOR THE SPECIFIC BOOKING GIVING RISE TO THE CLAIM, OR (B) $100. THIS LIMIT DOES NOT REDUCE ANY REFUND OWED TO YOU UNDER SECTION 4.6 OR 5.4.

9.3 What these limits do not cover. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any liability that cannot be limited under applicable law, including non-waivable consumer rights in your state or country.

9.4 Indemnity. You will indemnify HeyTripp against third-party claims, and related reasonable costs, arising from your violation of these Terms or of law, your fraudulent or unauthorized use of the Service, or Your Content infringing someone's rights. This does not apply to claims caused by HeyTripp's own conduct.

10. Disputes, changes, and general terms

10.1 Talk to us first. Before starting a formal dispute, email [email protected] with the subject line "Dispute" and your name, booking reference, and a description of the issue. We will try to resolve it within 60 days.

10.2 Arbitration and class action waiver. If we cannot resolve a dispute informally, you and HeyTripp agree to resolve it by individual binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. HeyTripp will pay arbitration filing and administrative fees beyond what you would pay to file in court. Either party may instead bring an individual claim in small claims court. Claims may be brought only individually, not as a plaintiff or class member in any class or representative proceeding. If 25 or more similar arbitration demands are filed by the same or coordinated counsel, they may be administered in batches. This agreement does not prevent you from bringing issues to the attention of government agencies.

10.3 Opting out. You may opt out of Section 10.2 by emailing [email protected] with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration.

10.4 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and do not deprive you of protections under the mandatory consumer laws of your state of residence. Any claim not subject to arbitration will be brought in the state or federal courts in San Francisco County, California.

10.5 Changes to these Terms. We may update these Terms. For material changes, we will notify you by email or in the app at least 30 days before they take effect, and where required, ask you to accept them. Changes do not apply to bookings already confirmed or to disputes already pending. If you do not agree, stop using the Service and close your account.

10.6 General. These Terms, the Privacy Policy, and terms shown at checkout are the entire agreement between you and HeyTripp about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate, including a future HeyTripp operating entity, or in connection with a merger, acquisition, or sale of assets. We are not liable for delays caused by events beyond our reasonable control. Notices to you may be sent by email or in the app.

10.7 Seller of Travel. California Seller of Travel Registration No. 2174413-50. Registration as a seller of travel does not constitute approval by the State of California. TPixel, Inc. participates in the California Travel Consumer Restitution Fund (TCRF). If you were located in California at the time of sale, you may be eligible to file a claim with the fund for certain losses if your travel is not provided and you are not refunded. Your itinerary and receipt describe the losses covered, how to file a claim, the time limit, and the maximum amount. Customers located outside California at the time of sale are not covered by the fund.

10.8 Contact. TPixel, Inc. d/b/a HeyTripp, 1808 Wedemeyer St, Suite 328, San Francisco, CA 94129. Email: [email protected].
